These Terms of Service ("Terms") govern your use of PatientPulse, a medical practice management platform provided by PatientPulse (Pty) Ltd. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Definitions

  • "PatientPulse" or "we/us/our" refers to PatientPulse (Pty) Ltd, a company registered in South Africa.
  • "Services" refers to our medical practice management platform and related services.
  • "User" or "you/your" refers to healthcare professionals and medical practices using our Services.
  • "Patient Data" refers to all patient health information and medical records processed through our platform.

2. Acceptance of Terms

By registering for or using PatientPulse, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and PatientPulse.

3. Eligibility

To use our Services, you must:

  • Be a registered healthcare professional in South Africa
  • Be authorized to practice medicine in accordance with HPCSA regulations
  • Have the legal capacity to enter into binding agreements
  • Comply with all applicable laws and regulations

4. Medical Practice License

PatientPulse is intended for use by licensed medical practitioners only. By using our Services, you warrant that you are a qualified healthcare professional authorized to provide medical services in South Africa. You agree to maintain your professional registration and comply with all HPCSA ethical standards and guidelines.

5. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring the accuracy and completeness of patient data
  • Complying with all applicable healthcare laws and regulations
  • Obtaining necessary patient consents for data processing
  • Implementing appropriate security measures for patient data
  • Notifying us immediately of any security breaches

6. Data Protection and Privacy

Your use of PatientPulse is subject to our Privacy Policy and the Protection of Personal Information Act (POPIA). You agree to:

  • Process patient data only for lawful healthcare purposes
  • Obtain and maintain appropriate patient consents
  • Implement necessary security measures to protect patient data
  • Report any data breaches to the Information Regulator and affected individuals
  • Cooperate with our security and compliance measures

7. Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to our Services. We may perform maintenance, updates, or experience technical issues that temporarily affect service availability. We will provide reasonable notice for scheduled maintenance.

8. Payment Terms

Subscription fees are due in advance and are non-refundable except as required by law. Payment terms include:

  • Monthly or annual subscription fees as selected
  • Automatic renewal unless cancelled
  • Late payment fees for overdue accounts
  • Price changes with 30 days notice

9. Intellectual Property

PatientPulse retains all intellectual property rights in our platform, software, and content. You retain ownership of your data. You may not:

  • Copy, modify, or distribute our software
  • Reverse engineer or decompile our platform
  • Use our trademarks without permission
  • Create derivative works based on our services

10. Limitation of Liability

To the maximum extent permitted by South African law, PatientPulse shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services. Our total liability shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold PatientPulse harmless from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate this agreement with 30 days written notice. We may terminate immediately if:

  • You breach these Terms
  • You violate applicable laws or regulations
  • Your professional registration is suspended or revoked
  • You fail to pay subscription fees

13. Governing Law

These Terms are governed by the laws of South Africa. Any disputes shall be resolved through the South African courts, with preference given to mediation through the Council for Medical Schemes or similar healthcare dispute resolution bodies.

14. Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good faith negotiations. If unsuccessful, disputes shall be referred to arbitration under the Arbitration Foundation of Southern Africa (AFSA) rules.

15. Modifications

We may modify these Terms at any time. Material changes will be communicated to you via email or platform notification. Continued use of our Services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
